X pvt ltd has total 500 member state whether is contravantion of sec2(68)on the basic of following information. 200 are joint holder 100 are employee 50 are ex-employee who contineous to be a member 100 are ex-employee who acquired membership after employement company have 400 debenture holders

X  pvt  ltd has total 500 member state whether is contravantion of sec2(68)on the basic of following information.

• 200 are joint holder
• 100 are employee
• 50 are ex-employee who contineous to be a member 
• 100 are ex-employee who acquired membership after employement
• company have 400 debenture holders

Ans.
sec2(68) provide sthat the articles of the pvt co.shall limit the number of its member to 200 except in case of opc.

further joint holder shall be taken as 1 and following members to be excluding while calculating limits of 200.

1. employees who are members 
2. ex-employees who continued to be a member.

In acordence with the requirement of above provison an information furnished in case of X pvt ltd there is contravention of sec 2(68) as member 250 whic is well beyond the limit of 200.
